1. Introduction
1.1 These notes are intended to provide practical information to assist those interested in the role of Branch Chairs in the appointment and selection process. Branch Chairs have knowledge of the local district in which they practice and are in direct contact with users of dispute resolution mechanisms. The Branch represent Prime Dispute in its locality, and therefore can develop and promote the mission of Prime Dispute and specifically arbitration, mediation and dispute resolution, as an equal to litigation. The Branch Chair shall strive to contribute to the development of Prime Dispute's membership, in collaboration with local arbitral and ADR institutes, government departments, universities, law firms and businesses.
2. Application Form
2.1 To apply for the Branch Chairs role the attached 'Branch Chairs Application Form' should be completed and returned to Prime Dispute.
3. Deadline for submission
3.1 The deadline for receipt of nominations will be announced on Prime Dispute social media platforms (or as invited by Prime Dispute Executives). The application must be completed and submitted online.
3.2 All documents must be received by the deadline. Details on submission of documents are set out below. You are strongly advised to submit the documents in advance of the deadline. Should there be a problem with any part of your nomination you will then have time to rectify it. If you leave your submission to the last minute with no time for amendments, it will run the risk of being invalidated.
4. Eligibility
4.1 In order to apply for the Branch Chairs role, you must be a Fellow (FPD) of Prime Dispute. In exceptional cases, and at the sole discretion of Prime Dispute, we may consider individuals with the designation MPD (Member Prime Dispute). You may nominate yourself by completing the process by the deadline, as detailed above.
5. Conduct
5.1 During the nomination period you will be expected to conduct yourself in a manner befitting a Branch Chair of Prime Dispute. We, therefore, require that your communications, including your election statement (this statement will only be used, if more than one individual applies for that specific region/branch) and any social media communications, adhere to the Conduct and Social Media Guidelines below.
5.2 Prime Dispute Executive(s) shall have the power to reprimand, caution or disqualify candidates who breach the Conduct and Social Media Guidelines without any recourse and our Executives decision shall be final.
6. Prime Dispute Conduct Guidelines
6.1 You must not:
(a) publish offensive, demeaning or defamatory comments about individuals;
(b) make unsubstantiated allegations which are damaging to the reputation and integrity of Prime Dispute;
(c) disclose confidential information that you are privy to during your communications with Prime Dispute.
6.2 You must:
(a) act in the best interests of Prime Dispute and not place your personal interests ahead of those of the organisation you wish to represent;
(b) be respectful of cultural differences;
(c) remember that you are legally responsible for any for anything you publish (including in the past) and this in turn can be quoted or published by the media.
7. Prime Dispute Social Media Guidelines
7.1 For the purposes of these Guidelines, social media and networking sites can include, but are not limited to, Facebook, Twitter, LinkedIn, Instagram, blogs, forums and your personal websites.
7.2 Candidates are accountable and legally responsible for their actions and activities when using social networking sites. They are expected to observe the standards, conduct and behaviour outlined in the Prime Dispute Professional Conduct Policy for Members (including policies and regulations), as well as relevant national and UK legislation such as the Data Protection Act and Equality Act, at all times.
7.3 Prime Dispute has no direct control over the information candidates choose to disclose on the internet or social media. Candidates must respect the need to protect the reputation of Prime Dispute, their own privacy, the privacy of executives and members of Prime Dispute, and the confidentiality of Prime Disputes information or data, in any communications or statements they make available to members of the general public (including private accounts and closed or confidential groups).
7.4 Candidates must not:
(a) engage in activities on the internet or social media, both personally and professionally, which might bring the Prime Dispute into disrepute;
(b) disclose private or confidential information without authorisation;
(c) use the internet or social media to disparage Executives or members of the Prime Dispute in any way;
(d) imply Prime Dispute’s endorsement of personal views and views that Prime Dispute would not wish to be associated with;
(e) violate the terms and conditions of the social media network being used, and
(f) request other and/or set up any social media accounts for or on behalf (without permission) of 'Prime Dispute' which includes using the logo.
8. Duties and responsibilities
8.1 Branch Chair is a senior role in Prime Dispute and with this comes responsibility to support Prime Dispute’s Mission and Vision.
8.2 Branch Chairs duties are:
(a) raise the profile of Prime Dispute within the relevant region and share the vision, mission and values;
(b) support Prime Dispute key campaigns including Women in Industry, Equality & Diversity, Legal Square, Entrepreneurs, Graduate HQ, Government & Business and all new campaigns;
(c) bring to the attention of the Executive at head office details of possible professional misconduct of Prime Dispute members within the branch/region;
(d) ensure all Prime Dispute policies and procedures are complied with, in particular, the 'Business Ethics & Conflict of Interest Policy';
(e) act as a focal point within the branch/region to deal with any areas of complaint or dissatisfaction from members relating to the activities of the branch/region;
(f) Chair any meeting, as appropriate, on behalf of Prime Dispute within the branch, ensuring that business is conducted efficiently, effectively, in a professional manner and that decisions are suitably recorded and communicated to head office;
(g) ensure that events, training (delivered by Prime Dispute Certified Educators) and projects carried out receive appropriate approval from head office;
(h) ensure that events and projects carried out are in line with Prime Dispute branding guidelines and are suitable for the organisations image;
(i) promote and encourage new initiatives that will be of general benefit to the membership and Prime Dispute;
(j) introduce new members to Prime Dispute and be aware of criteria to gain membership;
(k) oversee the production of a schedule of meetings and activities;
(l) act as a focal point for the Branch and co-ordinate correspondence between the region and staff at head office;
(m) adhere to any appropriate requests from HQ and respond within 24 hours.
8.3 All Prime Dispute income generated by the Branch Chair/region should be logged and transferred directly to Prime Dispute HQ. However, it is highly advised HQ sets up the online procedure/system(s) to collect any income generated by the branch to avoid any accusations of fraud or similar.

9. Late Submissions
9.1 In the event that the candidate fails to submit all the components of their nomination on time, Prime Dispute Executives will decide whether the reason qualifies as an exceptional circumstance such as serious illness or accident. In such circumstances a part submission may still be accepted and the candidate may be allowed up to five additional working days to send in the outstanding items. However, if it is deemed that insufficient parts of the nomination have been completed and submitted by the deadline, the candidate’s application will not be accepted.
9.2 Only the most serious of reasons for failing to submit a complete nomination by the stated deadline will be accepted. Candidates are warned not to regard these provisions as a general-purpose safety net for failing to act in sufficient time.
10. The Election Process
10.1 If a single candidate applies for a branch/region they may be selected by default at the discretion of Prime Dispute Executive (Directors)*. If multiple candidates apply for the Branch Chairs role, a ballot will be held amongst the Branch Chairs of the other Regions, this will be conducted by the Prime Dispute Executive team*. If an unanimous decision is not reached then Prime Dispute will allow the membership to vote for the appropriate candidate. The voting process may be undertaken by the Executive of Prime Dispute or referred to an independent third party at the discretion of Prime Dispute. The election results will be published within our e-Industry newsletter and our appropriate social media platforms.
10.2 No candidate may be nominated for more than one branch/region, with the exception of the Presidency and Vice President Membership.
11. Term of Office
11.1 The Branch Chair role is for two years. Candidates are eligible for re-election for up to a maximum of six consecutive years or at the discretion of Prime Dispute Executives (Director). Consecutive years served in any capacity shall not exceed six and shall be followed by a one year break. Further consecutive years may be served, without the need for appointment or re-election, if the Candidates makes a successful application, in writing, to Yvonne Hanly (Prime Dispute - Director of Corporate Services) six months before their term is about to end.
11.2 Prime Dispute is able to terminate the term of any Branch Chair, without reason or recourse, with a notice period of 4 weeks. Should the Branch Chair, decide to terminate their role, they are also able to do so, without reasons, with a notice period of 4 weeks. Neither Prime Dispute or the Branch Chair are permitted to discuss the reasons with any third party, unless this is required by law.
11.3 Individuals can only hold the post of Branch Chair whilst membership fees are up to date.
12. Remuneration
12.1 Candidates should note this is a voluntary role and no payment is made for work or services provided to Prime Dispute. However, If the candidate provides a service as a Panel member (arbitrator, mediator, etc) or Certified Educator they will be paid for the appropriate services. Please refer to the appropriate terms regarding 'Panels' and 'Certified Educators'.
13. Resignation for post, Not fit for Duty or other reasons
13.1 If the Branch Chair, is not fit for duty or resigns at any time during the first two years of a term of office, the vacancy shall be filled by the same process used to appoint the original office holder. The successful candidate shall hold office for the unexpired portion of the term.
14. Nationality & Office Address
14.1 The candidate should be fluent in both written and spoken English.
14.2 The candidate should meet one of the following requirements:
(a) have permanent residency within the country (including the branch/region for which they have applied) or;
(b) be working within the branch/region at the time of completing and submitting their application for Branch Chair (evidence may be required by Prime Dispute).
14.3 The candidate’s office address will be displayed on our website or supplied to members who need to get in contact with the Branch Chair. It is important you request consent from the appropriate individual(s) prior to providing the address to Prime Dispute.
15. Executive Power
15.1 No Branch Chairs shall have any powers over Prime Dispute's Executives or the function of Prime Dispute. All Prime Dispute HQ and Senior Executives decisions are final.
16. Regional Structure
16.1 The regions are as follows:
(a) Prime Dispute UK & Ireland
(b) Prime Dispute Americas
(c) Prime Dispute Asia & Australasia
(d) Prime Dispute Europe
(e) Prime Dispute Middle East & Africa
16.2 Changes in the number or boundaries of regions or branches shall only be made by Prime Dispute (Directors).
17. Advertising
17.1 The Branch Chairs will not store the names of the individuals attending the training, development or events and will not send them direct emails unless this is via Prime Dispute.
17.2 If the Branch Chairs wish to promote any training, development or events, they should ensure they seek the approval of Prime Dispute before doing so.
17.3 Prime Dispute will use the profile and images of the Branch Chairs within advertising material. If the Branch Chair has any issues or concerns relating to this they should be addressed, in writing, to Prime Dispute prior to Prime Dispute launching any material.
17.4 The Branch Chairs should promote the services of Prime Dispute and ensure they do not recommend other bodies/organisations services without prior permission from Prime Dispute.
18. Additional information
18.1 Branch Chairs are not able to elect any individual to replace their personal duties or promise/instruct any work to any third party on behalf of Prime Dispute.
18.2 Prime Dispute Executives (including all Directors) decisions are final and binding on all Branch Chairs regarding all disagreements or disputes.
18.3 Branch Chairs shall have power to invite donations and to seek sponsorship for particular activities, but shall ensure they inform Prime Dispute Executives, prior to receiving any funds. Prime Dispute may request the Branch Chairs to direct all funds via Prime Dispute. Prime Dispute has the final decision to reject any donations or sponsorship if the organisation does not abide by Prime Dispute 'Business Ethics and Conflict of Interests Policy'.
18.4 Branch Chairs should provide details regarding all planned actively and discuss any income that will be generated.
18.5 The Branch Chairs shall ensure that no personal or professional information relating to individuals undertaking training, development or attending events will be disclosed to anyone other than the Prime Dispute executive. This includes information relating to candidates who fail, are referred in an assessment or the grades achieved.
18.6 The Branch Chairs shall ensure that all fees and expenses which are agreed between Prime Dispute remain confidential.
18.7 Branch Chairs will respect all members of Prime Dispute executive and ensure they participate fully with any investigations which involve the conduct of the Branch Chairs. Should Prime Dispute remove the Branch Chairs from office no recourse will be made against Prime Dispute or its Executives.
18.8 The personal views of the Branch Chairs should generally not be expressed to members. In an exceptional case where this may be deemed appropriate, the Branch Chairs will ensure candidates are made aware that the views being expressed are personal and not the views of Prime Dispute.
18.9 Branch Chair should not, under any circumstances, provide/confirm membership designations for any individual/s (this includes holding or storing any data regarding any Prime Dispute member). Please refer all membership related matters to Prime Dispute.
18.10 Branch Chair should note this this is a voluntary role and no payment is made for work or services provided to Prime Dispute. However, If you provide your services as a Panel members (arbitrator, mediator, etc) or Certified Educator you will be paid for the appropriate services. Please refer to the

18.10 Branch Chair confirm they understand the role and function of Prime Dispute Executives. Prime Dispute Executive(s) duties are:
(a) achieving the aims, objectives and targets set out in the business plans;
(b) overseeing the construction of Prime Dispute business plan and annual budgets;
(c) ensuring that the finances and resources allocated to Prime Dispute are employed for the achievement of its vision, mission, aims, objectives and targets as set out in the business plan;
(d) producing and delivering Vision 2040 or similar;
(e) setting subscription and all fees relating to services provided by Prime Dispute;
(f) Corporate governance and use of reserves;
(g) recruitment of President, Vice President, Boards, Branch Chairs or similar;
(h) leading, managing and administering the following functions of the business - Regulation, Authority, Insights, Academy, Membership;
(i) managing all social media platforms for Prime Dispute and the branches.
(i) staff employment and related matters.
*Regarding 10.1 - Prime Dispute Executive (Directors) will make the final decision, even if multiple individuals apply, as this is the first time we are recruiting for the position of Branch Chairs.

18.8 The personal views of the Branch Chairs should generally not be expressed to members. In an exceptional case where this may be deemed appropriate, the Branch Chairs will ensure candidates are made aware that the views being expressed are personal and not the views of Prime Dispute.
18.9 Branch Chair should not, under any circumstances, provide/confirm membership designations for any individual/s (this includes holding or storing any data regarding any Prime Dispute member). Please refer all membership related matters to Prime Dispute.
18.10 Branch Chair should note this this is a voluntary role and no payment is made for work or services provided to Prime Dispute. However, If you provide your services as a Panel members (arbitrator, mediator, etc) or Certified Educator you will be paid for the appropriate services. Please refer to the
appropriate documents regarding 'Panels' and 'Certified Educators'.
18.10 Branch Chair confirm they understand the role and function of Prime Dispute Executives. Prime Dispute Executive(s) duties are:
(a) achieving the aims, objectives and targets set out in the business plans;
(b) overseeing the construction of Prime Dispute business plan and annual budgets;
(c) ensuring that the finances and resources allocated to Prime Dispute are employed for the achievement of its vision, mission, aims, objectives and targets as set out in the business plan;
(d) producing and delivering Vision 2040 or similar;
(e) setting subscription and all fees relating to services provided by Prime Dispute;
(f) Corporate governance and use of reserves;
(g) recruitment of President, Vice President, Boards, Branch Chairs or similar;
(h) leading, managing and administering the following functions of the business - Regulation, Authority, Insights, Academy, Membership;
(i) managing all social media platforms for Prime Dispute and the branches.
(i) staff employment and related matters.
*Regarding 10.1 - Prime Dispute Executive (Directors) will make the final decision, even if multiple individuals apply, as this is the first time we are recruiting for the position of Branch Chairs.
